1. Acceptance of Terms

By accessing or using services provided by opentact inc, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service and all applicable telecommunications laws and regulations. If you do not agree with these terms, you must immediately cease using our services.

2. Telecommunications Compliance

2.1 STIR/SHAKEN Requirements

All users must comply with STIR/SHAKEN (Secure Telephone Identity Revisited/Signature-based Handling of Asserted information using toKENs) protocol requirements. You agree to:

  • Maintain proper call authentication and attestation levels
  • Not falsify caller ID information or engage in caller ID spoofing
  • Implement proper signing of outbound calls where technically feasible
  • Cooperate with traceback requests from telecommunications authorities

2.2 Robocall Mitigation

You expressly agree to implement and maintain a Robocall Mitigation Program that includes:

  • Real-time monitoring of call traffic patterns
  • Blocking or labeling of suspected illegal robocalls
  • Investigation and response procedures for suspected violations
  • Cooperation with the FCC's Robocall Mitigation Database requirements
  • Regular review and updates to mitigation strategies

2.3 Prohibition of Illegal Calls

Users are strictly prohibited from:

  • Making or facilitating illegal robocalls or autodialed calls without proper consent
  • Transmitting pre-recorded voice messages without recipient authorization
  • Spoofing caller ID information with intent to defraud or cause harm
  • Making calls to numbers on the National Do Not Call Registry (except as permitted by law)
  • Transmitting artificial or prerecorded voice messages to wireless numbers without prior express written consent
  • Facilitating telemarketing fraud, phone scams, or deceptive calling practices
  • Making threatening, harassing, or abusive calls
  • Transmitting calls that violate the Telephone Consumer Protection Act (TCPA)

2.4 Call Authentication and Verification

You agree to:

  • Maintain accurate records of call origination and authorization
  • Verify the identity and authorization of downstream providers
  • Respond promptly to traceback requests from industry traceback consortium or law enforcement
  • Not alter or remove authentication information from calls

2.5 Know Your Customer (KYC)

opentact inc maintains KYC procedures, and users must:

  • Provide accurate business information and contact details
  • Submit to identity verification processes
  • Notify us immediately of any changes to business operations or ownership
  • Allow periodic reviews of calling practices and traffic patterns

3. User Conduct and Acceptable Use

Users must:

  • Use services only for lawful telecommunications purposes
  • Comply with all federal, state, and local telecommunications regulations
  • Not engage in network abuse, fraud, or security breaches
  • Maintain proper consent records for all marketing or commercial calls
  • Honor opt-out requests immediately
  • Report any suspected violations or suspicious calling activity

4. Intellectual Property

All content, technologies, software, and compliance tools provided by opentact inc, including but not limited to STIR/SHAKEN implementation, call analytics platforms, and robocall mitigation systems, are the intellectual property of opentact inc. Unauthorized use, reproduction, or distribution is prohibited.

5. Privacy and Data Protection

We collect and process telecommunications data in accordance with:

  • Our Privacy Policy
  • Federal Communications Commission (FCC) regulations
  • Customer Proprietary Network Information (CPNI) rules
  • Applicable state and federal privacy laws

Call detail records, authentication data, and user information will be handled with appropriate security measures and disclosed only as required by law or regulation.

6. Regulatory Cooperation

You agree to:

  • Cooperate fully with regulatory investigations or inquiries
  • Provide requested documentation regarding calling practices
  • Respond to cease-and-desist notices
  • Participate in industry traceback efforts
  • Pay any fines or penalties resulting from your violations

7. Monitoring and Enforcement

opentact inc reserves the right to:

  • Monitor call traffic for compliance purposes
  • Analyze calling patterns to detect potential violations
  • Block or filter calls that appear fraudulent or non-compliant
  • Suspend or terminate services immediately upon detection of violations
  • Report violations to appropriate regulatory authorities

8. Third-Party Services and Interconnection

Our platform may interconnect with third-party carriers and service providers. While we require compliance from our partners, opentact inc is not responsible for third-party practices, though we maintain reasonable oversight of our network.

9. Disclaimers and Warranties

Services are provided "as-is" without warranties of any kind. While we implement industry-standard compliance measures including STIR/SHAKEN, call authentication, and robocall mitigation, we do not guarantee:

  • Uninterrupted service availability
  • Complete prevention of all illegal calls on our network
  • Immunity from regulatory actions
  • Specific call completion rates or attestation levels

10. Limitation of Liability

opentact inc shall not be liable for:

  • Regulatory fines or penalties imposed on users for their violations
  • Damages resulting from service interruptions or call blocking
  • Losses from compliance-related service restrictions
  • Third-party claims arising from user's calling practices
  • Consequential, indirect, or punitive damages

Maximum liability shall not exceed amounts paid by the user in the preceding 12 months.

11. Indemnification

You agree to indemnify, defend, and hold harmless opentact inc, its officers, employees, and agents from any claims, damages, penalties, or liabilities arising from:

  • Your violation of telecommunications laws or regulations
  • Illegal calling practices or TCPA violations
  • Failure to maintain proper robocall mitigation procedures
  • Caller ID spoofing or authentication failures
  • Third-party claims related to your use of services

12. Suspension and Termination

12.1 Immediate Suspension

We may immediately suspend services without notice if:

  • Illegal calling activity is detected
  • You fail to implement required robocall mitigation
  • Regulatory authorities request suspension
  • Your calling practices pose network security risks

12.2 Termination

We may terminate your account for:

  • Repeated compliance violations
  • Failure to cooperate with investigations
  • Material breach of these terms
  • Business practices that violate telecommunications regulations

13. Audit Rights

opentact inc reserves the right to audit your calling practices, consent records, and compliance procedures. You must provide requested documentation within 5 business days of any audit request.

14. Amendments and Updates

These Terms of Service may be updated to reflect:

  • Changes in FCC regulations or telecommunications law
  • New compliance requirements (e.g., TRACED Act provisions)
  • Industry best practices
  • Technology standards evolution

Continued use after notice of changes constitutes acceptance. Material changes will be communicated with reasonable notice.

15. Governing Law and Dispute Resolution

These terms are governed by federal telecommunications law and the laws of [State]. Disputes shall be resolved through binding arbitration, except regulatory matters which shall be handled through appropriate regulatory channels.

16. Severability
